All content, features, and functionality of our Services, including but not limited to text, graphics, logos, images, software, and code, are the exclusive property of Jianfei Information Technology Co., Ltd. or its licensors and are protected by copyright, trademark, and other intellectual property laws.
Upon full payment for custom development services, you will own the intellectual property rights to the custom code and deliverables specifically created for you, unless otherwise agreed in writing. We retain rights to any pre-existing materials, frameworks, libraries, and general methodologies.
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives the termination of the agreement.
Confidential information does not include information that is publicly available, independently developed, or lawfully obtained from third parties.
We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. For custom development, we warrant that deliverables will substantially conform to agreed specifications for a period specified in the service agreement.
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JIANFEI INFORMATION TECHNOLOGY CO., LTD. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
OUR TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES DURING THE 12 MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Jianfei Information Technology Co., Ltd., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
These Terms remain in effect while you use our Services. Either party may terminate the relationship as specified in individual service agreements.
We reserve the right to suspend or terminate your access to our Services immediately, without prior notice, for any breach of these Terms or for any other reason at our sole discretion.
Upon termination, provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.
Any disputes arising from these Terms or our Services shall be resolved through good faith negotiations. If negotiations fail, disputes shall be submitted to the competent court in Yongji City, Shanxi Province.
We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our Services after such changes constitutes your acceptance of the new Terms.
